1. Introduction
These Terms of Use (“Terms”) govern access to and use of the Ballin’ services.
The operator of the Ballin’ software platform is a corporation registered in the State of Delaware, United States of America (hereinafter referred to as the “Company”, “Ballin’”, “we”, or “us”).
These Terms apply to the use of the Ballin’ website, Telegram bot, and Telegram Mini App, as well as software interfaces and functionalities through which the user may obtain technical access to services provided by independent third-party operators, including wallets, digital asset exchange, card services, payment functions, and other integrated services (collectively referred to as the “Services”). Unless expressly stated otherwise, the Company provides software and technical interface access, while the relevant services may be provided by independent operators.
For the purposes of these Terms, the availability of a third-party service through the Ballin’ interface does not mean that such service is provided by the Company. The specific service provider, the contracting party with the user, and the allocation of responsibilities are determined by the actual model of the respective service, separate terms and conditions, and applicable law.
Depending on the availability of relevant features, the Services may include:
- access to a wallet and the ability to work with supported digital assets;
- exchange and conversion of digital assets;
- issuance, activation, and management of virtual and physical payment cards;
- card balance top-up;
- payment for goods and services using available payment instruments;
- ATM cash withdrawals, if provided for under the terms of the specific card;
- integration with digital payment wallets, including Apple Pay and Google Pay, if supported by the corresponding card;
- transfers and withdrawals through available payment channels;
- transaction notifications, security features, and customer support.
The actual list of available features, applicable limitations, fees, and terms of use are determined by the information displayed in the Services, as well as the terms of the respective providers and partners.
By accessing the Services, using them, initiating transactions, or ordering a payment card, you confirm that you have read these Terms, understand their contents, and agree to be bound by them. The Company’s Privacy Policy is a separate document governing the processing of personal data.
If you do not agree to these Terms, you must cease using the Services.
We may amend these Terms in accordance with Section 9. You are responsible for reviewing the current version of the document.
These Terms apply to individuals and, where relevant features are available, to legal entities and other organizations using the Services, unless separate terms are provided for a specific service.
Before using the Services, carefully review these Terms and information regarding fees, limitations, and risks. If any provision is unclear to you, contact customer support prior to performing the corresponding transaction.
It is recommended that you retain a copy of these Terms and current tariffs. The current version of the document is published on the official website or provided through other official interfaces of the Company.
2. Description of Services
The Company provides software, user interface, and technical access to Ballin’ functionalities. Through the Services, the user may access features and services that, depending on the specific product, may be provided by independent third-party operators, issuers, payment institutions, infrastructure providers, or other third parties. The actual provider of the respective service is determined by applicable terms, information displayed to the user, and the actual service delivery model.
2.1. Wallet and Digital Assets
The Services may provide the ability to interact with supported digital assets, view available balances, receive assets, initiate transfers, and perform other operations provided by the wallet functionality.
The list of supported assets and blockchain networks may change. The ability to work with a specific asset depends on its technical support, availability of the corresponding network, and applicable restrictions.
The user is obligated to verify the asset name, blockchain network, recipient address, amount, and other details before confirming a transaction.
Sending a digital asset through an unsupported network, to an incorrect address, or specifying an incompatible asset may result in total and irreversible loss of funds.
The specific custody and management model for digital assets depends on the technical architecture of the corresponding feature and engaged providers. Information regarding who controls the assets, private keys, and authority to dispose of funds shall be determined by the actual operational model of the respective service and applicable terms.
The Company does not guarantee continuous availability of every asset or blockchain network.
2.2. Exchange and Conversion of Digital Assets
If the corresponding feature is available, the user may exchange or convert supported digital assets via the Ballin’ interface.
Before confirming a transaction, the Services display available exchange parameters, including amount, applicable exchange rate, and fees, if any.
Rates may change depending on market conditions, liquidity, network conditions, and exchange provider terms.
Information displayed prior to confirmation may be indicative. Applicable terms of the transaction are determined by final parameters presented to the user immediately prior to confirmation.
The Company does not guarantee any specific market rate, profitability of exchange, or availability of a particular asset pair at any time.
2.3. Card Services
Ballin’ may provide access to virtual and physical payment cards through respective issuers, card program operators, and other third-party providers.
Depending on card type and respective program terms, the following may be available:
- issuance and activation of the card;
- viewing card details;
- card balance top-up;
- payment for goods and services online and at physical merchant locations;
- use of Apple Pay and Google Pay;
- ATM cash withdrawals;
- viewing transaction history and managing available card settings.
Availability of specific features depends on card type, country of use, issuer terms, payment infrastructure requirements, and active restrictions.
Card issuance costs, subscription fees, top-up fees, transaction limits, and other conditions are displayed in the Services or in applicable tariffs prior to taking the respective action.
The issuance, activation, use, suspension, and termination of a card may additionally be governed by terms of the issuer or card program operator. The user is required to review such terms if provided separately.
2.4. Payments and Withdrawals
Where applicable features are available, the Services may provide the ability to make payments, withdraw cash via supported cards, and initiate transfers or withdrawals through integrated payment channels.
The availability and processing times of such operations depend on the chosen method, requirements of the respective provider, recipient country, currency, transaction screening, and technical conditions.
If the Services provide the ability to withdraw funds to a bank account or via other payment systems, specific requirements, limits, fees, and processing times are specified prior to confirming the transaction where applicable.
The Company does not guarantee that every withdrawal method will be available to all users or in all jurisdictions.
2.5. Transaction Execution
Transactions may be processed using the Company’s internal technical systems, blockchain networks, card issuers, payment institutions, liquidity providers, and other third-party infrastructure partners.
Prior to confirming a transaction, the user must verify all material parameters of the operation.
Once executed, a transaction with a digital asset generally cannot be cancelled using blockchain network tools. The possibility of cancellation or refund for other operations depends on the type of operation, its processing stage, provider terms, and applicable law.
The Company may reject, delay, suspend, or restrict an operation if necessary to comply with the law, fulfill partner requirements, prevent fraud, investigate suspicious activity, or ensure the security of the Services.
2.6. Legal Compliance and Risk Control
Use of the Services may be governed by legal requirements concerning financial transactions, digital assets, payment services, anti-money laundering (AML), and compliance with sanctions restrictions.
Depending on the specific service and requirements of respective providers, the user may be required to provide additional information, identity verification, proof of source of funds, or other verification measures.
The absence of a requirement to provide documents upon initial access to a particular feature does not mean that such documents cannot be requested later.
The Company reserves the right to apply monitoring and risk control measures within the limits provided by applicable law and the actual model of providing the Services.
3. Third-Party Services and Integrations
3.1. Use of Third-Party Providers
Third-party platforms, technology solutions, and infrastructure partners may be used to operate the Services.
These may include:
- Telegram and technical infrastructure providers;
- card issuers and card program operators;
- payment institutions and processing companies;
- liquidity providers and digital asset exchange services;
- blockchain networks and network infrastructure providers;
- security, monitoring, and transaction verification service providers;
- Apple Pay, Google Pay, and other compatible digital payment services.
The availability of certain features may depend on the operation of such providers and compliance with their requirements.
3.2. Third-Party Provider Terms
The use of certain third-party services may be governed by independent terms, privacy policies, and rules of the respective providers.
The user is obligated to review applicable terms if they are provided for review or acceptance.
In the event of a conflict between these Terms and mandatory terms of a third-party provider regarding a service provided directly by that provider, the corresponding terms shall apply to the extent provided by applicable law.
These Terms do not of themselves alter contractual obligations between the user and a card issuer, payment institution, or other independent provider.
3.3. Role of the Company
The Company provides the Ballin’ software, user interface, and technical infrastructure that enable access to features provided by the Platform.
Unless expressly provided otherwise in a separate written agreement or mandatory provisions of applicable law, the Company is not a provider of services offered by independent operators through the Platform and does not act as their agent, representative, joint performer, guarantor, or party to contracts between such operators and users.
Independent operators and third-party providers act in their own name and are solely responsible for their services, products, contractual obligations, necessary licenses and permits, compliance with applicable law, as well as the accuracy of information they provide to users.
The Company does not carry out governmental regulation or official licensing of the activities of independent operators and does not endorse the legality of their operations solely by virtue of their services being available through the Ballin’ interface. The Company’s role is determined by the actual operational model of the software, executed agreements, and mandatory requirements of applicable law.
3.4. Limitation of Liability for Third-Party Services
The Company does not fully control the activities of independent operators and third-party providers and does not guarantee uninterrupted availability of their services.
To the maximum extent permitted by applicable law, the Company shall not be liable for the performance of obligations by independent operators, the quality and legality of their services, their decisions, acts or omissions, nor for delays, disruptions, restrictions, or refusal to provide third-party services, unless such circumstances are caused by the Company’s own breach of obligations.
Nothing in these Terms excludes or limits the Company’s liability for its own acts or omissions, for obligations expressly assumed by the Company, or for cases where exclusion or limitation of liability is not permitted by applicable law.
The Company may modify, disable, or replace third-party integrations and technical components if necessary for the operation, security, or development of the Services, subject to notification obligations and other requirements of applicable law.
3.5. Intellectual Property and Software Rights
The Platform comprises software, source and object code, architecture, interfaces, design, databases, algorithms, technical documentation, user experience elements, trademarks, and other intellectual property assets. Rights to corresponding elements belong to the Company, its affiliates, licensors, or other rights holders depending on the specific asset and legal basis.
Certain components of the Platform may be developed by the Company, created by engaged developers under contract, provided by third parties under license, or used on another legal basis. The use of such components is carried out within the rights granted by respective agreements and licenses; access to the Platform does not in itself mean the transfer of ownership or exclusive rights in the software to the user.
The user receives a limited, non-exclusive, non-transferable, and revocable right to use the Platform in accordance with these Terms. The user may not copy, distribute, decompile, modify, or otherwise use elements of the Platform beyond the scope permitted by these Terms and applicable law.
4. Access to Services and User Data Processing
4.1. Access via Telegram
To access certain Ballin’ features, the user may interact with the official Telegram bot or Mini App.
Depending on the feature used, access may be linked to Telegram identifiers and technical parameters of the user session.
Having access to Telegram does not relieve the user of the obligation to comply with these Terms and security requirements.
The user is responsible for protecting their Telegram account, device, and authentication credentials used to access the Services.
4.2. Information Necessary for the Operation of the Services
Depending on the features used, the Company may process information necessary to provide and operate the Services.
Such information may include:
- Telegram user ID and username;
- contact details voluntarily provided by the user;
- device details and technical data;
- service usage logs and technical metadata;
- details of transactions, orders, exchanges, and card operations;
- information required to process support requests;
- additional information if required for security, transaction verification, or compliance with legal requirements.
The actual composition of processed data depends on the features used and the circumstances of user interaction with the Company.
4.3. Additional Verifications
The Company or respective third-party providers may request additional information or documents if necessary to comply with applicable law, prevent fraud, manage risk, or fulfill requirements of card issuers and payment partners.
Additional verifications may be conducted, in particular, upon detecting suspicious activity, reaching specific transaction thresholds, encountering questions regarding the origin of funds, or upon receiving a corresponding request from an authorized provider.
Refusal to provide information required to satisfy mandatory requirements may result in restrictions on certain features, suspension of transactions, or termination of access to the respective service.
4.4. Privacy and Data Protection
Processing of personal data is carried out in accordance with the Ballin’ Privacy Policy and applicable statutory requirements.
The Company implements reasonable technical and organizational measures aimed at protecting data against unauthorized access, modification, disclosure, or destruction.
Where necessary, data may be transferred to third-party providers involved in providing the Services, processing transactions, maintaining security, or fulfilling legal obligations.
Such transfer must be carried out in accordance with the Privacy Policy and applicable law.
The Company does not sell users’ personal data in violation of applicable legal requirements.
4.5. User Responsibilities
The user is obligated to provide accurate information when requested for the use of corresponding features and promptly report any identified errors in provided information.
The user must not transmit excessive confidential information not relevant to the provision of the service through the Services.
The Company cannot guarantee the absolute security of information when utilizing external platforms and networks; however, this does not relieve it of obligations imposed on it by applicable law.
5. Fees, Settlements, and Transaction Execution
5.1. Fees
Use of the Services may incur fees, including:
- card issuance and maintenance fees;
- card balance top-up fees;
- digital asset exchange and conversion fees;
- blockchain network fees;
- withdrawal fees and payment transaction fees;
- third-party provider fees;
- other charges expressly indicated for the respective feature.
Applicable fees and tariffs are displayed in the Services or respective interface prior to transaction confirmation, where technically feasible and required by applicable rules.
By confirming a transaction, the user agrees to the displayed terms and fees.
Third-party providers may apply their own charges in accordance with their terms. Such charges are displayed to the user to the extent that the Company possesses the relevant information and is required by law to disclose it.
5.2. Changes in Rates and Prices
Digital asset rates may fluctuate rapidly depending on market conditions, liquidity, and other factors.
A preliminary quote is not a guarantee of execution at the same price unless transaction terms expressly provide otherwise.
Final parameters of the operation are presented to the user prior to confirmation where applicable to the respective feature.
The Company does not guarantee any specific rate, market value of an asset, or financial outcome of a transaction.
5.3. Transaction Confirmation
By confirming a transaction, the user authorizes its processing in accordance with displayed parameters and applicable terms.
Prior to confirmation, the user is required to verify the amount, asset, network, recipient details, applicable fees, and other material parameters.
Once confirmed, the operation may be transmitted for processing and become irreversible depending on its type and stage of execution.
The Company is not liable for losses resulting from incorrect details specified by the user, except where such liability is mandated by applicable law.
5.4. Processing and Settlement Times
Transaction execution times may depend on blockchain network performance, payment processing, card issuers, recipient banks, and other third-party providers.
The Company does not guarantee execution of any transaction within a specific timeframe unless such timeframe is expressly established by mandatory terms of the respective service.
In the event of delays, the Company may provide information regarding the status of the operation within its available technical capabilities.
5.5. Finality and Refunds
Digital asset transactions confirmed by the blockchain network are generally irreversible.
The possibility of cancelling or refunding payments, card operations, and other transactions is determined by the type of transaction, rules of the respective provider, and applicable law.
The Company does not guarantee refund of funds once an operation is completed.
If the user believes that a transaction was executed in error, without authorization, or in breach of terms, they must contact customer support as soon as possible and provide information necessary for investigation.
5.6. Accuracy of Details
The user is solely responsible for the accuracy of wallet addresses, recipient details, amounts, and other data specified during a transaction.
The Company is not obligated to verify ownership of an external wallet address by the user or recipient unless such verification is provided for by the respective feature.
Sending funds to an incorrect address, to an unsupported network, or to the wrong recipient may result in irreversible loss of funds.
5.7. Right to Restrict Transactions
The Company reserves the right to reject, delay, suspend, or restrict transactions where necessary to:
- comply with applicable law or binding orders of competent authorities;
- fulfill requirements of card issuers and payment partners;
- prevent fraud, unlawful transactions, or misuse of the Services;
- investigate suspicious activity;
- protect the security of users and infrastructure;
- resolve technical malfunctions or manage operational risks.
Where necessary, the Company may apply temporary restrictions pending completion of an investigation.
5.8. Sufficiency of Funds
The user is obligated to ensure the availability of sufficient funds to complete the transaction and pay applicable fees.
A transaction may be rejected if funds are insufficient or unavailable for use under the terms of the respective service.
The Company is not liable for non-execution of a transaction due to insufficiency of funds, except where such liability is provided by applicable law.
5.9. Refund of Fees
Fees for successfully rendered services and executed transactions are generally non-refundable unless otherwise provided by applicable law, tariffs, or terms of the respective provider.
Card issuance costs, maintenance, and other services are governed by applicable tariffs.
Nothing in this section limits mandatory statutory rights of the user to refunds, reimbursement, or chargebacks where such rights are provided by applicable law.
6. User Obligations and Prohibited Use
6.1. Lawful Use
The user agrees to use the Services in accordance with these Terms and applicable law.
The user is solely responsible for compliance with legal requirements applicable to their activities, place of residence, physical location, and the nature of transactions performed.
The Services must not be used for unlawful activities, fraud, sanctions evasion, or violation of third-party rights.
6.2. Prohibited Activities
The user is prohibited from directly or indirectly using the Services for:
- money laundering, terrorist financing, or evasion of applicable sanctions;
- fraud, identity theft, deception, or unauthorized access to third-party funds and accounts;
- transactions involving illegal goods, services, or prohibited content;
- illegal gambling, betting, or financial schemes;
- fraudulent investment projects, pyramid schemes, and Ponzi schemes;
- conducting activities requiring a license or authorization without obtaining necessary permits;
- using payment instruments, accounts, or wallets without proper authorization;
- bypassing restrictions, security systems, transaction monitoring, or verification procedures;
- interfering with the operation of the Services, their infrastructure, or integrations;
- using automated tools for unauthorized access, exploitation of vulnerabilities, or disruption of platform operations;
- actions that may result in a violation of law or create substantial legal, financial, or operational risks for the Company, users, or partners.
The user must not use the Services to conceal the origin of funds, unlawfully transfer assets, or evade mandatory requirements.
6.3. Restricted Jurisdictions
Use of the Services may be restricted or prohibited for persons located in, residing in, or citizens of certain jurisdictions, where such restriction is mandated by applicable law, sanctions requirements, or provider terms.
In accordance with current Company restrictions, the Services are not provided to persons located in the Russian Federation or the Republic of Belarus, nor to individuals and entities subject to applicable sanctions, export controls, or other mandatory restrictions.
Access may also be denied to persons acting on behalf of or for the benefit of restricted persons, or utilizing the Services to circumvent applicable restrictions.
The Company may introduce additional restrictions regarding specific countries, territories, persons, or transaction categories when necessary to comply with law or partner requirements.
The list of restrictions may change. The user is obligated to ensure that use of the Services is permissible in their circumstances.
6.4. Investigations and Response Measures
Where there are grounds to believe that a user is violating these Terms, applicable law, or partner requirements, the Company may request additional information, restrict features, suspend transactions, or terminate access to the Services.
Such measures may be taken without prior notice if notification is prohibited by law, could prejudice an investigation, or poses a security risk.
6.5. User Responsibility
The user is liable for actions performed using their account, device, or access credentials within the limits established by applicable law.
The user must immediately notify customer support upon suspecting unauthorized access, account compromise, or unlawful use of the Services.
7. Limitation of Liability
7.1. Availability of Services
The Services are provided on an “as is” and “as available” basis within their actual availability and functionality.
The Company does not warrant that the Services will operate uninterrupted, error-free, or without temporary limitations.
The Company may carry out maintenance, updates, and other works capable of temporarily affecting the availability of specific features.
To the maximum extent permitted by applicable law, the Company shall not be liable for losses caused by such disruptions unless they result from circumstances for which the Company is legally obligated to be held responsible.
7.2. User Liability
The user is responsible for:
- compliance with these Terms and applicable law;
- verification of transaction details and parameters;
- ensuring the security of their devices and accounts;
- safeguarding authentication credentials and confidential data;
- utilizing the Services within available functionalities and established limits;
- assessing risks associated with digital assets and payment operations.
The Company is not liable for losses caused by user actions, erroneous details, or violation of these Terms by the user, except where such liability is provided by law.
7.3. Third-Party Providers
To the maximum extent permitted by applicable law, the Company shall not be liable for the acts or omissions of independent operators, the fulfillment of their obligations to users, the quality, legality, or availability of their services, nor for delays, failures, restrictions, or refusals to process transactions caused by third-party providers and beyond the reasonable control of the Company.
This provision does not exclude Company liability for its own breach of obligations, software defects, or cases where applicable law prohibits the exclusion or limitation of liability.
7.4. Technical and Network Risks
The operation of the Services may depend on external infrastructure, APIs, blockchain networks, payment systems, and third-party platforms.
The user acknowledges the existence of risks associated with:
- congestion or unavailability of blockchain networks;
- transaction confirmation delays;
- fluctuations in network fees;
- software bugs;
- technical integration failures;
- Telegram limitations or outages;
- temporary unavailability of payment and card services.
The Company does not fully control these systems and does not guarantee the absence of related failures.
7.5. Force Majeure
The Company shall not be liable for failure or delay in performing obligations caused by circumstances beyond its reasonable control, including natural disasters, acts of war, civil unrest, government actions, mandatory sanctions, infrastructure failures, power outages, cyberattacks, and widespread network or payment system disruptions.
The Company will take reasonable measures to restore the operation of the Services, where feasible, taking into account the nature and duration of the relevant circumstances.
7.6. Operations During Disruptions
During technical malfunctions or force majeure events, transactions may be processed with delays, rejected, or require additional verification.
Transaction parameters, including exchange rates, may change prior to execution.
The Company does not guarantee transaction execution within the originally anticipated timeframe if the delay is caused by circumstances beyond its reasonable control.
7.7. No Uptime Guarantee
The Company does not establish a guaranteed level of Service uptime or availability unless expressly provided in a separate written agreement.
Availability depends on technical infrastructure, external providers, and other factors that may change.
7.8. Consequential Damages
To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, loss of business opportunities, damage to goodwill, or data loss.
Nothing in these Terms excludes liability that cannot be excluded or limited under applicable law.
8. Suspension and Termination of Access
8.1. Termination by the User
The user may terminate use of the Services at any time.
If a formal closure procedure is provided for a respective service, the user may submit a request through official Company support channels.
To verify the request, the Company may ask for information necessary to confirm that the request originates from an authorized person.
Termination of use of the Services does not extinguish obligations arising prior to the termination date, nor does it automatically entail deletion of data that the Company is legally obligated to retain.
Matters relating to remaining balances, active cards, and pending transactions are governed by applicable terms of the respective service and mandatory legal requirements.
8.2. Suspension or Termination by the Company
The Company reserves the right to suspend, restrict, or terminate the user’s access to the Services in whole or in part, if necessary or reasonably warranted due to:
- violation of these Terms;
- requirements of applicable law or competent authorities;
- applicable sanctions restrictions;
- suspicion of fraud or illegal activity;
- risk to the security of the Services, users, or partners;
- necessity of additional verification;
- requirements of card issuers or other third-party providers;
- technical or operational reasons;
- discontinuation of the respective feature or service.
Where permitted by law and circumstances, the Company may notify the user of restrictions imposed.
8.3. Consequences of Suspension or Termination
Following suspension or termination of access:
- the user must cease using unavailable features;
- the Company may reject or suspend pending transactions within the scope of its authority;
- processing of certain transactions may continue if necessary to complete settlements or fulfill obligations;
- data and records may be retained in accordance with the Privacy Policy and statutory requirements;
- user obligations arising prior to termination of access remain in full force and effect.
Suspension of access does not imply automatic termination of independent third-party provider obligations toward the user.
8.4. Reinstatement of Access
The Company may decline to reinstate access if grounds for restriction persist or if reinstatement is prohibited by applicable rules.
Decisions of the Company are made in compliance with applicable law and do not limit user rights to appeal where such rights are provided by law.
9. Modification of Terms
9.1. Right to Modify
The Company reserves the right to periodically amend, supplement, or update these Terms, including in connection with:
- changes in the functionality of the Services;
- launching new products or discontinuing existing ones;
- modifications to fees, tariffs, and limits;
- changes in legislation and regulatory requirements;
- changes in technical infrastructure and third-party integrations;
- updates to security and risk management requirements;
- changes in organizational structure or service delivery models.
9.2. Publication of Changes
The updated version of the Terms may be published on the official website, in the Telegram bot, Mini App, or another official interface of the Company.
Where required by applicable law or necessary under specific circumstances, the Company will provide users with separate notice of changes.
The Company is not obligated to provide individual notice to each user in all instances, unless otherwise required by applicable law.
9.3. Effective Date of Changes
Unless stated otherwise in the notice, changes take effect from the date of publication or another specified date.
Continued use of the Services after changes become effective constitutes the user’s acceptance of the updated Terms to the extent such acceptance is permitted by applicable law.
If the user does not agree with the changes, they must cease using the affected Services.
Nothing in this section permits the Company to waive mandatory user rights or retroactively modify terms of an already completed transaction where prohibited by law.
10. Digital Assets, Custody, and Control of Funds
10.1. Characteristics of Digital Assets
Digital assets exist within their respective blockchain networks and may be transferred, stored, and used in accordance with the technical rules of those networks.
The legal status of digital assets and requirements for their use may vary by jurisdiction.
The user is solely responsible for understanding the characteristics of assets used and the risks associated with them.
10.2. Custody of Assets and Wallet Management
The actual custody model for digital assets depends on the architecture of the corresponding Ballin’ feature and terms of participating providers.
These Terms shall not be construed as a statement that all Ballin’ wallets are non-custodial, that the Company controls no funds, or that all assets are held exclusively by third-party providers.
With respect to each feature, the custody model, control over private keys, access to assets, and allocation of responsibility disclosed in the interface, separate documentation, or applicable provider terms shall apply.
Where the user independently manages private keys or a seed phrase, the user is responsible for their security and confidentiality.
Where custody or asset management is performed by a third-party provider, the relationship is governed by applicable terms of such provider and mandatory legal requirements.
10.3. No Guarantee of Access Recovery
The ability to recover access to a wallet or digital assets depends on the technical model of the respective service.
The Company does not guarantee recovery of access to assets if necessary keys, credentials, or verification tools are lost and it is technically impossible to restore access.
The Company does not guarantee cancellation of a transaction that has already been finalized on a blockchain network.
10.4. Balances and Card Funds
Balances displayed in the interface may depend on data received from respective systems and providers.
The legal regime, actual control, and terms of use of funds in a card balance are determined by the specific card program model, issuer terms, and other applicable documents.
Display of an amount in the interface does not of itself signify that the Company assumes the obligations of a bank, electronic money institution, or other regulated financial entity.
The Company does not claim the availability of deposit insurance or other fund protection unless such protection is expressly confirmed by applicable documentation of the respective institution.
10.5. Irreversibility of Blockchain Transactions
Transactions confirmed by a respective blockchain network are generally irreversible.
The Company does not guarantee the ability to intervene in the operation of a blockchain network, modify a confirmed transaction, or recover assets sent to incorrect details.
11. Risk Disclosure, No Advisory Services, and Indemnification
11.1. Digital Asset Risks
The use of digital assets involves significant risks. The user confirms understanding and acceptance of such risks.
These include:
- Market Risk. The value of digital assets can fluctuate rapidly, including substantial decline in value or complete loss of value.
- Irreversibility Risk. Executed blockchain transactions generally cannot be reversed.
- Technological Risk. Network, software, smart contract, and third-party infrastructure failures can lead to delays or loss of assets.
- Liquidity Risk. Exchange or sale of certain assets may be temporarily unavailable or executed on unfavorable terms.
- Regulatory Risk. Laws and regulations governing digital assets may change.
- Security Risk. Compromise of a device, account, or authentication credentials may result in unauthorized access.
- Third-Party Provider Risk. The operation of wallets, cards, and payment features may depend on independent companies and infrastructure.
The user makes independent decisions regarding the use of digital assets and bears the risks associated with such decisions to the extent permitted by law.
11.2. No Financial or Investment Advice
The Company does not provide financial, investment, legal, or tax advice as part of standard use of the Services.
Information displayed in the Services is intended solely to describe available features and transaction parameters, and does not constitute an individualized recommendation to buy, sell, or hold any asset.
The user independently assesses the appropriateness of transactions and, where necessary, seeks independent professional advice.
11.3. Reporting Errors and Suspicious Activity
If the user discovers an error in a transaction or suspects unauthorized access, they must contact official customer support without undue delay.
The Company may investigate and take reasonable measures within its authority.
However, the possibility of asset recovery, transaction reversal, or reimbursement of losses is not guaranteed.
11.4. Unauthorized Transactions
Handling of claims regarding unauthorized transactions is conducted in accordance with applicable law and terms of the respective provider.
Nothing in these Terms excludes liability of the Company where explicitly mandated by law.
The user is obligated to implement reasonable safeguards to protect accounts, devices, and authentication credentials.
11.5. Indemnification
To the extent permitted by applicable law, the user agrees to indemnify and hold harmless the Company against documented losses and reasonable expenses arising directly from:
- material breach of these Terms by the user;
- unlawful use of the Services;
- fraudulent acts by the user;
- violation of third-party rights by the user;
- provision of knowingly false information for the purpose of executing unlawful transactions.
This provision does not relieve the Company from liability for its own breaches of obligations and shall not apply to the extent such indemnification is prohibited by applicable law.
11.6. Limits of Financial Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for indirect or consequential damages, lost profits, loss of business opportunities, or damage to goodwill, unless such damages are subject to mandatory compensation under applicable law.
Any limitation of liability applies only to the extent permitted by applicable law.
11.7. Force Majeure
The Company shall not be liable for failure or delay in performing obligations caused by circumstances beyond its reasonable control, including natural disasters, armed conflicts, acts of government authorities, mandatory sanctions measures, large-scale cyberattacks, infrastructure outages, and major disruptions to payment systems.
The Company will take reasonable measures to mitigate the consequences of such circumstances where feasible.
12. Governing Law and Dispute Resolution
12.1. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, and applicable federal law of the United States of America, unless mandatory legal provisions applicable to a particular user or service provide otherwise.
The choice of governing law does not preclude the application of mandatory consumer protection laws and other rights that cannot be waived by agreement of the parties.
12.2. Pre-Dispute Resolution
Prior to initiating court proceedings, the user and the Company seek to resolve disputes through good-faith negotiations.
The user may submit a claim through official support channels, specifying the nature of the dispute and information necessary for its review.
The Company strives to review claims within a reasonable timeframe. If applicable law specifies a mandatory review timeframe, such timeframe shall apply.
12.3. Judicial Dispute Resolution
